A. Company Secretarial Services

Corporate entities registered in Kenya are required to ensure compliance with various legal and statutory requirements under the laws of Kenya to allow for the efficient and effective management of their operations.

As part of this compliance, the entity should engage the services of a company secretary to ensure that the entity is in compliance with the applicable laws and regulations of Kenya and that its director and shareholders effectively run and manage the operations of the company in compliance with the law.

1. Management of Board Affairs: Arranging for and managing board meetings for directors and annual general meetings for its shareholders in compliance with the Companies Act which include:

  • Preparation and issuance of notices for board and shareholder meetings.
  • Assisting in compiling and circulating the reports and attendant documentation to the directors and shareholders for the meetings; and
  • Attending the meetings, taking minutes of the meeting and circulating them for signature once approved.

  • Confirming the correctness of records maintained with the Registrar of Companies; and

  • Advising the board on any required changes in the company structure for:
    • Directorship structure,
    • Shareholding structure,
    • Change of company particulars including the registered office and address and company name;
  • Providing general guidance to the Board with respect to company secretarial matters;
  • Guiding the directors on the technical application of the Companies Act 2015 and the application of the company’s Memorandum and Articles of Association.
  • Providing guidance on compliance with any rules and regulations set out under the Companies Act 2015 or by the Registrar of Companies/Business Registration Services Department from time to time;

B. Compliance and Licensing
