A Service Agreement is a contract which sets out the terms and conditions for provision of services by a service provider to a Client.

Most provisions of a Service Agreement would in most cases be standard. However, the following are the key provisions to watch out for prior to entering into a Service Agreement: payment, scope of services, amendment, termination, liability, confidentiality, IP ownership, and choice of law/dispute resolution.
